The rules for using our site and engaging our services.

Website use, professional services, and AERO360° — including clear allocation of aviation operational responsibility between ABCD IT Solutions and our customers.

Acceptance of Terms

  • By accessing our website or engaging ABCD IT Solutions for software, AERO360°, or professional services, you agree to these Terms and Conditions.
  • If you are accepting on behalf of a company or aviation organization, you represent that you have authority to bind that entity.
  • We may update these terms periodically; continued use of the website after updates constitutes acceptance of the revised website terms. Product or subscription changes are governed by the applicable commercial agreement.

Scope of Services

  • Website use: informational content, demos, events, and contact channels.
  • Professional services: custom software, integration, implementation, and consulting as defined in proposals or statements of work.
  • AERO360° and related platforms: cloud-based aviation operations software provided under a subscription, order form, or master services agreement (MSA), including any service levels stated there.
  • Where a signed agreement conflicts with these website terms for a paid engagement, the signed agreement prevails.

Aviation Safety & Operational Responsibility

  • AERO360° and related tools are decision-support and operations-management software. They do not replace licensed personnel, approved manuals, or the customer’s aviation safety management system.
  • The operator / customer remains solely responsible for airworthiness, flight safety, dispatch decisions, maintenance release, crew fitness, and compliance with applicable civil aviation regulations (including DGCA or other authorities that apply to them).
  • ABCD IT Solutions is a technology provider and is not a civil aviation authority, approved maintenance organization, or air operator certificate holder by virtue of providing software.
  • No use of our website or software alone constitutes regulatory approval, certification, or assurance that operations meet aviation authority requirements.

Services & Engagements

  • Scope, deliverables, environments, and timelines are defined in proposals, statements of work, order forms, or contracts.
  • Either party will designate points of contact for coordination and approvals.
  • Changes to scope require mutual agreement and may adjust fees or schedules.
  • Demo or evaluation environments are non-production, may use sample data, and are provided without production SLAs unless expressly agreed.

Use of Our Website & Platforms

  • You may not misuse the site or platforms, attempt unauthorized access, disrupt operations, or probe security except under an agreed security-assessment program.
  • You may not access another customer’s data, bypass role-based controls or audit trails, or use the services in violation of aviation, privacy, or export laws.
  • Customers must ensure that only authorized personnel are granted access and that user roles match operational responsibilities.
  • Website content is for informational purposes and may change without notice. We may suspend or limit access for maintenance, security, or misuse.

Fees & Payments

  • Fees and payment schedules for services or subscriptions are specified in the applicable agreement or invoice.
  • Late payments may accrue interest or suspension rights as described in the governing agreement.
  • Taxes, duties, or levies are the client's responsibility unless otherwise agreed.

Intellectual Property

  • Pre-existing IP of each party remains that party's property, including ABCD’s software, trademarks (including AERO360°), documentation, and methodologies.
  • Subject to payment and the governing agreement, customers receive a limited, non-exclusive right to use subscribed software for their internal aviation operations.
  • Customer data and content remain the customer’s property. The customer grants ABCD a limited license to host, process, and display that data solely to provide the services.
  • Use of our name, trademarks, or case studies requires prior written consent.

Confidentiality

  • Each party must protect confidential information received from the other, including commercial, technical, security, fleet, and operational information.
  • Use of confidential information is limited to fulfilling obligations under the engagement.
  • Obligations do not apply to information that is public, independently developed, or legally required to be disclosed (including to regulators where mandated by law), with notice where legally permitted.

Data Protection & Customer Data

  • We handle personal data according to our Privacy Policy and applicable law, including India’s DPDP Act where it applies.
  • For AERO360° and hosted platforms, ABCD typically processes customer data as a processor on the customer’s instructions; a data processing addendum may apply.
  • On termination or request (as set out in the agreement), we will provide commercially reasonable assistance for data export and will delete or return customer data from active systems within the agreed timeline, subject to legal retention and backup cycles.
  • You are responsible for ensuring you have the right to provide any personal or operational data to us and for configuring access appropriately.

Availability, Support & Third-Party Services

  • Production availability, support hours, and remedy commitments for AERO360° are defined in the applicable SLA or order form—not solely by these website terms.
  • We may perform scheduled maintenance; emergency maintenance may occur to protect security or stability.
  • Integrations with third-party systems (for example weather, messaging, ERP, or MRO tools) are provided “as available” and depend on those providers.

Warranties & Disclaimers

  • Services are provided with reasonable skill and care consistent with industry practices for business software.
  • Except where explicitly stated in a signed agreement, services and the website are provided "as is" without additional warranties.
  • We do not warrant that software is fit as the sole basis for certification, dispatch release, airworthiness decisions, or other safety-critical determinations unless expressly contracted in writing.
  • We do not guarantee uninterrupted or error-free operation of the website, platforms, or third-party tools.

Liability

  • To the extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, including loss of profits, data, goodwill, or business opportunity.
  • To the extent permitted by law, ABCD is not liable for flight delays, aircraft on ground (AOG) losses, regulatory fines or enforcement actions against the operator, or personal injury arising from reliance on software outputs where operational decisions remain the customer’s responsibility.
  • Our aggregate liability related to an engagement is limited to the fees paid for the relevant services in the twelve (12) months preceding the claim (or such other cap stated in the governing agreement), unless prohibited by law.
  • These limitations do not apply to liability that cannot be limited under applicable law (for example fraud or willful misconduct where such carve-outs apply).

Indemnity

  • Customer will indemnify ABCD against third-party claims arising from the customer’s misuse of the services, unlawful data uploads, or failure to comply with aviation or privacy laws applicable to the customer, subject to the governing agreement.
  • ABCD will indemnify the customer against third-party claims that the unmodified AERO360° software provided by ABCD infringes that third party’s intellectual property, subject to the procedures and exceptions in the governing agreement.
  • Each party’s indemnity obligations are subject to prompt notice, reasonable cooperation, and control of defense as set out in the applicable contract.

Export Control & Sanctions

  • You represent that you are not prohibited from receiving the services under applicable export control or sanctions laws.
  • You will not use, export, or re-export the software or documentation in violation of such laws or to restricted parties or jurisdictions.

Termination

  • Either party may terminate an engagement for material breach if not cured within the agreed period after notice.
  • Upon termination, accrued fees become payable and each party returns or destroys confidential information as required.
  • Sections intended to survive (including confidentiality, IP, data return/deletion, disclaimers, liability limits, and indemnity) remain in effect.

Governing Law

  • Unless a signed agreement states otherwise, these website terms are governed by the laws of India.
  • Courts in Mumbai, Maharashtra, India shall have exclusive jurisdiction, subject to applicable conflict-of-law rules and any dispute-resolution process in a governing commercial agreement.
